Investor Relations Policy Statement
- Introduction
Stoneweg EREIT Management Pte Ltd (the “Manager”) is committed to regularly informing all Unitholders and other stakeholders about Stoneweg European REIT’s (SERT)’s financial results and operating performance. Relevant announcements on any changes in SERT’s and the Manager’s business that could materially affect the price or value of the Units are made as soon as possible, barring unforeseen circumstances. This is done to assist unitholders and investors in making investment decisions.
The Manager has a dedicated investor relations team that runs a proactive investor outreach programme. SERT’s investor communications activities are governed by (1) this investor relations policy and (2) SERT’s market disclosure protocol.
- The investor relations policy outlines the principles and practices that the Manager follows to ensure regular, effective and timely communication with the investment community. Manager strives to go beyond the regulatory market disclosures requirements when communicating with the market and maintains active two-way communication and engagement with Unitholders, the broader investment community, and the media. Amongst others, the manager actively solicits the views of Unitholders on relevant strategic and topical issues. - The market disclosure protocol ensures that:
- SERT immediately discloses all price-sensitive information to the SGX-ST in accordance with the Listing Rules;
- All Unitholders have equal and timely access to material information concerning SERT, including its financial position, performance, transactions, major developments and substantial Unitholders.
- Purpose
This Investor Relations Policy outlines the principles and practices that the Manager of Stoneweg European REIT (SERT) follows to ensure timely, accurate, regular, effective and fair two-way communication with Unitholders, the broader investment community and the media. - Communication Guidelines
- The Manager communicates to Unitholders, the investment community, and the media clearly and factually.
- The Manager communicates with the investment community and the media only through designated spokespersons, who will regularly engage Unitholders, the wider investment community and the media to address any concerns and/or solicit feedback.
- Generally, the Manager will not respond to any rumours or market speculation. However, suppose information or rumours indicate that material information has been leaked, is inaccurate, or has the potential to establish a false market in the Units of SERT. In that case, clarifications will be made as soon as practicable through SGXNET in accordance with the listing rules of the SGX-ST.
- Financial Results Announcements
- Since April 2020, further to the amendments to Rule 705(2) of the SGX-ST Listing Manual, the Manager has adopted half-yearly financial reporting for SERT. Full and half-year result announcements include financial statements and supplementary materials such as results presentations and media releases. The Manager provides interim business updates for the first and third quarters, which include presentations, key financial metrics, media releases and other supplementary information.
- All published quarterly and annual financial statements, presentation slides, media releases are available on SERT’s website. Highlights of relevant financial results information is typically published on SERT’s LinkedIn and other social media sites.
- The Manager conducts media and analyst briefings to inform the media, analysts and investors of SERT’s business performance on the announcement date of half and full-year financial results and first and third quarter business updates. Where applicable, archived earnings call recordings are also available on SERT’s website post-briefing for up to a year.
- Full-year and half-year announcements are typically accompanied by short video messages by the CEO or other C-suite executives. These are intended for a general audience and are usually uploaded to SERT’s website, LinkedIn site and other social media sites.
- The Manager observes a “blackout period” and refrains from commenting on SERT’s financial performance and industry outlook two weeks before the release of its first quarter, third quarter and half-year results and one month before the release of its full-year results as per the listing rules of the SGX-ST.
- Market-relevant General Announcements and Property Information
- Besides financial results announcements, the Manager publicises other market-relevant general corporate announcements, media releases, investor presentations and annual and sustainability reports on SGX-ST as required and promptly. These are concurrently made available on SERT’s website in the investor relations section.
- Media releases and presentation decks of property acquisitions, divestments, developments, redevelopments and leasing updates are available on SERT’s corporate website.
- SERT’s corporate website has a dedicated section with updated property information for all the assets in its portfolio. These provide Unitholders and the investment community with a better understanding of SERT’s portfolio and their respective submarkets.
- Annual and Sustainability Reports
- Annual and Sustainability Reports are published to provide Unitholders, the investment community and the media with an overview of SERT’s yearly financial, operational and ESG performance, key strategies and market outlook.
- In line with SERT’s sustainability strategy, an electronic version of the Annual Report is available on SERT’s website (printed copies are available upon request). At the same time, the Sustainability Report is available exclusively in digital form via SERT’s website.

- General Meetings
- Unitholders are informed of general meetings and receive information on the relevant rules and voting procedures of such meetings timely and within the applicable notice periods. Notices of the general meetings, links to downloadable electronic copies of proxy forms and other forms, such as the request for printed copies of the Annual Report, are uploaded on SGX-ST within the requisite notice period and advertised in the media. In line with SERT’s sustainability strategy, printed copies of the forms and notices are no longer mailed to the Unitholders.
- Unitholders can appoint proxies to vote on their behalf in accordance with the Trust Deed of SERT, should they be unable to attend the meeting in person.
- All Unitholders are provided with the opportunity to participate effectively in and vote at general meetings. At general meetings, Unitholders are encouraged to communicate their views and discuss matters affecting SERT with the Board and Management, in line with best practices at general meetings. Every effort is made for representatives of the Trustee, Directors (including the chairpersons of the Board and the ARC), the Manager’s senior management and the external auditors of SERT to be present (physically or via electronic means) at general meetings and address any queries from Unitholders, including Unitholders’ queries about the conduct of audit and the preparation and content of the auditors’ reports.
- The Manager proposes a separate resolution for each substantially separate issue at general meetings to safeguard Unitholders' interests and rights. The Manager conducts electronic poll voting for all the resolutions proposed at the general meetings to ensure transparency in the voting process and better reflect Unitholders’ interests. Voting procedures are explained and vote tabulations are disclosed at the general meetings.
- Communications with the Investment Community
- SERT proactively engages with the investment community through timely, accurate, regular, effective and fair two-way communication.
- In addition to formal results briefings and dialogues, the Manager provides strategy and performance updates and regularly solicits the investment community’s views through participation in local and regional conferences, one-on-one meetings, group teleconferences and post-results briefings. Video messages on half-yearly results highlights from the CEO are uploaded on all appropriate platforms.

- All publicly available information, including annual reports, sustainability reports, media releases, presentations, factsheets and property videos, is available on SERT’s corporate website at https://www.stonewegeuropeanreit.com.sg.
- SERT’s trading price is reflected on the website with a 10-minute delay.
- SERT’s website has a dedicated investor centre section, containing relevant information and charts on stock fundamentals. Financial results materials organised chronologically from newest to oldest, including replays of earnings calls, are also available.
